Corporate Name Search Reports
In order for you to register or incorporate your business, a
corporate name search report is required by the Federal and the provincial
governments. These reports are used to determine the availability of a
corporate/business name by searching the relevant databases or registries
listing any similar or possibly confusing existing corporation names, business
names and trademarks. In other words, you need to make sure that no one else
has already registered the corporate or business name, or trademark you would
like to use for your business.
In Canada, there are 2 different kinds of reports: a NUANS* biased report; and a provincial name report. The NUANS database provides name search reports for the following jurisdictions: Canada (Federal); Ontario; Alberta; New Brunswick; Nova Scotia; and Prince Edward Island. All the other provinces (B.C., Quebec, Manitoba, Saskatchewan and Newfoundland & Labrador), they each require a name search report from their respective provincial database and registry and NOT from the NUANS database. Types of Business Organizations
Sole Proprietorship
The sole proprietorship is the simplest form of operating a
business. Only one owner is responsible for making all of the business
decisions and, therefore, earns all the profits, but also assumes all of the
risks and obligations.
Partnership
A partnership is a
relationship between two or more persons carrying on a business with a view to
making a profit. The organization is usually more complex than that of a sole
proprietorship and there is more than one owner to share in the profit and/or
losses.
Corporation
A corporation (also called
"company") is a legal entity that has its own legal personality which
is distinct from its owners (called shareholders) and the individuals who
manage and run its affairs and business (called directors and officers). The
creation of a corporation occurs following the proper filing of Articles of
Incorporation (also called a Charter or Certificate of Incorporation) with the
relevant government department or authority.
What is a Shelf Company?
Shelf corporations are simply corporations that have been incorporated, but have never been used. They got their name from being “on the shelf” waiting to be used.
